Terms of Service

What the platform does

NXT LINK helps businesses describe needs, find and evaluate vendors, publish listings, exchange requests and quotes, send messages, and organize opportunities in Deal Rooms. We may help identify vendors and coordinate introductions. Unless we separately agree in writing, NXT LINK does not sell the vendor’s products or services and is not a party to the buyer-vendor purchase. Buyers and vendors decide whether to do business and remain responsible for checking qualifications, safety, specifications, pricing, permits, taxes, delivery, payment, and performance.

Accounts

Provide accurate business and contact information, keep your credentials secure, and tell us promptly if you suspect unauthorized account access. A company is responsible for the people it authorizes to use its account. We may review business details and restrict access when reasonably needed for security, compliance, or violations of these Terms. A verification label reflects only the checks actually performed and does not guarantee a vendor’s work or results.

Listings, requests, quotes, and conversations

You are responsible for content you submit and must have the right to share it. Keep listings, qualifications, availability, prices, requests, and quotes accurate. Do not upload sensitive personal information or another party’s confidential files without authorization. Only share deal information with people who need it for that opportunity.

Award Vendor = Select this vendor to move forward. It does not by itself create a purchase order or legally binding purchase unless both parties separately accept the applicable order or agreement.

A buyer and vendor should confirm the final scope, price, terms, and any purchase order or contract directly with each other. A vendor is responsible for its own quote, and a buyer is responsible for reviewing it before proceeding.

Messages and quotes in a Deal Room may be seen by its authorized participants and by NXT LINK personnel when needed to operate or support the service, as further described in the Privacy Policy. Do not assume a request remains visible only to NXT LINK after you submit it for vendor coordination.

Fees

Buyer account creation and submitting a request are free under these Terms. NXT LINK does not currently process buyer-vendor payments through the web app. A vendor does not owe a success fee merely by creating an account, publishing a listing, receiving a request, or using these general Terms. Before any vendor success fee applies, NXT LINK will present terms stating the rate, what transaction value it applies to, when it is earned, when it is payable, and how changes and cancellations are handled. The vendor must accept those fee terms. The fee terms may be a separate agreement or a clearly identified vendor section of the Terms.

Acceptable use

Do not misrepresent your identity or business, post unlawful or infringing content, misuse private request data, harass users, send spam, scrape or export account or vendor data in bulk, interfere with security, introduce malicious code, or use the service for illegal transactions. We may remove content or suspend access where reasonably necessary to protect users, comply with law, or address a material violation. We will provide notice when appropriate.

Your content and our platform

You retain ownership of material you submit. You give NXT LINK a nonexclusive permission to store, display, transmit, and use it as needed to run the listing, request, conversation, or deal you initiate; support and secure the service; and comply with law. Public listings may be displayed publicly. This permission ends when content is deleted, except for copies reasonably retained in shared transaction records, backups, or legally required records. You confirm you have permission to provide the material. NXT LINK retains its rights in its name, branding, software, and platform design.

Availability and user disputes

The service may change or be unavailable at times. NXT LINK does not guarantee that a request receives a quote, that a vendor wins work, or that either side completes a transaction. Buyers and vendors are responsible for disputes under their own agreements. We may help communicate but do not promise to resolve their dispute. We are not responsible for another user’s statements or performance to the extent permitted by law. Nothing in these Terms limits rights or liability that cannot legally be limited.

Closing an account

You can request account closure at contact@nxtlinktech.com. We may suspend or close an account for a material violation, fraud, security concern, or legal reason. Closing an account does not cancel an existing buyer-vendor agreement or an accepted vendor fee obligation. Our Privacy Policy explains how records may be retained.

Governing law and changes

Texas law governs these Terms, except where mandatory law provides otherwise. Contact contact@nxtlinktech.com about a dispute so we can try to resolve it. We may update these Terms by posting a new effective date and giving notice of material changes when appropriate. If you do not accept updated Terms, stop using the service and request account closure.
